Carol DuBose is a senior multi-disciplined Paralegal whose experiences encompass working for some of Houston’s top law firms, fortune 500 in-house legal departments for over 20 years. Carol’s experience includes drafting and administration of various entity operating agreements. Implementing and managing international anti-corruption, anti-bribery, and anti-money laundering compliance programs. Preparing stock/unit certificates and maintaining stock ledger. Preparing and applying for employer identification numbers. Preparing, finalizing, and filing necessary documents for formations, dissolutions, mergers, conversions, foreign qualifications, DBAs, and UCCs in states and counties. Maintaining company corporate books and corporate governance administration. Drafting closing documents and supervising closings. Preparing and filing SEC-related documents. Preparing applications for various state licenses. Preparing and finalizing audit response letters. Preparing and maintaining due diligence databases. Process and manage Minority Certification application and prepare necessary documents to accompany application through approval.
